Terms of Purchase

These Terms of Purchase (“Terms”), together with our Privacy Policy, set out the terms and conditions that will apply when you place an order from The L&L Legal Shop, an online legal templates and resources shop owned and operated by Locked & Lawyered®. If you are unable to understand, or have any questions about, these Terms please contact us BEFORE placing your order.

You will be required to confirm that you have read and accept these Terms before you submit an order to The L&L Legal Shop. Please note that these Terms are subject to change so review and save or print a copy of these Terms prior to each order that you submit.

Overview

These Terms do not affect your legal (statutory) rights under your applicable state laws relating to the sale of consumer products.

Important Legal Notice — No Attorney-Client Relationship

The L&L Legal Shop is an online shop that sells legal contract templates, digital courses, business forms, and educational resources. The L&L Legal Shop is owned by Locked & Lawyered®. Nakia Gray, Esq. is a licensed attorney; however, your purchase of products from The L&L Legal Shop does NOT create an attorney-client relationship between you and Nakia Gray, Esq., Locked & Lawyered®, or The L&L Legal Shop.

The products, templates, and information available through The L&L Legal Shop are provided for general informational and educational purposes only and do NOT constitute legal advice. No attorney-client relationship is formed by your purchase, download, use, or review of any product sold through The L&L Legal Shop.

Communications between you and The L&L Legal Shop are protected by our Privacy Policy, but are NOT protected by attorney-client privilege, the work product doctrine, or any other legal privilege. We cannot and do not provide legal advice, legal opinions, legal recommendations, or guidance specific to your individual situation, jurisdiction, or circumstances.

The legal templates sold through The L&L Legal Shop are general-purpose documents designed to be customized by the purchaser. Because laws vary by state and change frequently, we cannot guarantee that any template will be legally enforceable or appropriate for your specific situation. If you need legal advice for a specific matter, you should consult with a licensed attorney in your jurisdiction.

Order and Acceptance Each order submitted constitutes an offer to purchase products from us. Orders are subject to our acceptance, and we may, at our discretion, refuse to accept your order, including where:

  • orders cannot be processed due to an error in information you have provided to us;
  • there is an error on our site relating to the products that you have ordered, for example, an error relating to the price or description of the product as displayed on our site; or
  • the products that you have ordered are no longer available through our site.

We will, unless we suspect that your order was placed for fraudulent purposes, send you an email if we are unable to accept your order, informing you of the reason.

After we receive your order, you will receive an email from us confirming receipt of your order. If you do not receive an email, contact us before you try to place another order for the same product.

Product Availability

We have the right, at any time, to make changes to information about products displayed on our site, for example information about prices, descriptions, or the availability of products, and we may do so without first giving you notice of the changes. We will not, however, make any changes to the price, availability, or description of any product after we have accepted an order to supply the product to you.

Prices and Payment

The product price is always the price indicated on the website when you place your order. The price does not include tax (where applicable).

Payments are processed through our online payment processor. You understand that by making a purchase through our website, you are also agreeing to the terms and conditions of our payment processor(s).

Coupon Codes and Promotional Pricing

From time to time, we may offer promotional discount codes or coupon codes. It is your sole responsibility to enter any applicable coupon code at the time of checkout. Coupon codes cannot be applied after an order has been submitted. We do not issue refunds, credits, or price adjustments for orders placed without a coupon code, even if a valid code was available at the time of purchase. If you forget to apply a coupon code, your purchase will be processed at the full price displayed.

Refund Policy — ALL SALES ARE FINAL

Due to the digital nature of our products, ALL SALES ARE FINAL. All digital products sold through The L&L Legal Shop are non-returnable, non-refundable, and cannot be cancelled once an order is placed. No refunds or credits will be issued under any circumstances, including but not limited to:

  • failure to download or access your purchased product(s);
  • failure to apply a coupon code or promotional discount at checkout;
  • dissatisfaction with the product after purchase;
  • purchasing the wrong product;
  • purchasing a duplicate product; or
  • change of mind after purchase.

By completing your purchase, you acknowledge that you have reviewed all items and the total pricing displayed and agree to this no-refund policy.

Our Intellectual Property

The L&L Legal Shop and Locked & Lawyered®, own all content on this site, including, but not limited to, written content, products, services, text, contract templates, legal forms, business documents, photographs, illustrations, images, designs, graphics, files, information, instructions, principles, downloadable publications, downloadable products, sounds, music, sales copy, advertising copy, website layout, website design, any and all derivative works or enhancements of the content, the compilation, assembly, and arrangement of the copyrightable material on this site, and all intellectual property rights to the Content, including derivative works, enhancements, compilations, assembly, and arrangements, unless otherwise expressly stated on the site.

By accessing or using the Site and/or purchasing our Products, you do not acquire any right, title, or interest in the Site or our Content beyond the limited license granted herein.

Your purchase of products from The L&L Legal Shop shall not be construed as granting you a license or right to use our trademarks, service marks, logos, slogans, or taglines, including but not limited to Locked & Lawyered®, The L&L Legal Shop, and any associated branding.

Your Use of Our Products — No Derivative Works

The legal templates, contract forms, and educational materials sold through The L&L Legal Shop are licensed for your personal or internal business use only. By purchasing our products, you agree to the following restrictions:

  • Single-User License. Each purchase grants a license to ONE individual or ONE business entity. You may not share your login credentials, distribute purchased files, or allow others to access products purchased under your account.
  • No Redistribution. You may not sell, resell, license, sublicense, distribute, share, give away, or otherwise transfer our products to any third party, whether for free or for compensation.
  • No Teaching or Repurposing. You may not use our products to teach, train, coach, or create educational content for others. You may not repurpose our templates, language, or content into your own products, courses, programs, or services.
  • No Derivative Works. You may not create derivative works based on our products. This includes but is not limited to: copying our contract language into your own templates for sale, adapting our forms for distribution, or using our content as the basis for competing products.
  • Customization for Personal Use Only. You may customize our templates for use in your own business or with your own clients. You may NOT customize our templates and then sell, distribute, or share the customized versions with others.

Violation of these terms may result in termination of your license, legal action for copyright infringement, and liability for damages.

Use of Artificial Intelligence

You may not use artificial intelligence tools, machine learning systems, or automated content generation technology to create derivative works based on our products without our express written permission. You may not use our products to train AI models, language learning models, or similar systems without our express written permission. You may not input our contract templates, forms, or content into AI tools for the purpose of generating competing products or circumventing the licensing restrictions set forth in these Terms.

Liability and Indemnification

To the extent permitted by law, The L&L Legal Shop and Locked & Lawyered® shall not be liable to you or anyone else for loss or damage of any kind (however caused or arising) relating in any way to this website or your purchase of our digital products, including, but not limited to, loss or damage you might suffer as a result of:

  • errors, mistakes, or inaccuracies on the website;
  • you acting, or failing to act, on any information contained on or referred to on the website and/or any linked website;
  • personal injury or property damage of any kind resulting from your access or use of the website;
  • any unauthorized access to or use of the website’s secure servers;
  • any interruption or cessation of transmission to or from the website;
  • any bugs, viruses, trojan horses, or other harmful code or communications which may be transmitted to or through the website by any third party;
  • the legal enforceability, adequacy, or appropriateness of any template or form for your specific situation or jurisdiction;
  • any legal disputes, claims, or damages arising from your use of our templates; and/or
  • the quality or fitness for any purpose of any linked sites.

YOU ACKNOWLEDGE THAT THE LEGAL TEMPLATES SOLD THROUGH THE L&L SHOP ARE GENERAL-PURPOSE DOCUMENTS AND MAY NOT BE SUITABLE FOR YOUR SPECIFIC LEGAL NEEDS. YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF OUR PRODUCTS. WE STRONGLY RECOMMEND THAT YOU HAVE ANY LEGAL DOCUMENT REVIEWED BY A LICENSED ATTORNEY IN YOUR JURISDICTION BEFORE USE.

You will at all times indemnify The L&L Legal Shop and Locked & Lawyered® including our owners, directors, officers, employees, and agents, from and against any loss (including reasonable legal costs and expenses on a full indemnity basis) or liability incurred or suffered by you arising from any claim, demand, suit, action, or proceeding by any person against you where such loss or liability arose out of, in connection with, or in respect of your conduct or breach of these Terms.

No Guarantees / Disclaimer

It is very important that you understand that we are not acting as your attorney, and no attorney-client relationship exists between you and The L&L Legal Shop, Locked & Lawyered®, or Nakia Gray, Esq. by virtue of your purchase. Your purchase of our digital products and/or enrollment in any of our programs will not guarantee any legal, business, or financial results.

Because of the nature of our products, the results experienced may significantly vary from customer to customer. Although we are confident that the content in our products will help you in your business, we cannot make any promises to you and will not deliver any guaranteed outcomes as a result of using our products. The outcome and results you experience depend on your specific situation, your jurisdiction, and your implementation of the templates and strategies provided.

Opt-Out Method
